1. Scope of Agreement - Acceptance

These Terms form a legally binding agreement between you - the User - and MinerCompare.com. Your use of the Services is conditional on your acceptance of and compliance with these Terms. Continued access or use after any change to these Terms means you accept the revised Terms. If you do not accept these Terms you must stop using the Services immediately.

2. Authorization - Prohibited Users

If you do not agree with these Terms you are not authorized to access or use the Services. Any person who accesses or uses the Services represents and warrants that they are authorized to do so. Unauthorized access or use may lead to civil and criminal liability.

3. Information, Data and No Financial Advice

The Services provide information, data, estimates, comparisons, recommendations and other material for informational and educational purposes only. All content is provided AS IS and AS AVAILABLE.

4. Third Party Products, Vendors and Links

The Services may reference or link to third party products, vendors or websites. References are provided in good faith and for convenience only and do not imply endorsement, sponsorship or affiliation.

MinerCompare is not the producer, vendor or seller of third party products and does not control, guarantee or warrant performance, quality, legality or availability of any third party product, service or site.

Linked sites were checked at the time of linking and no illegal content was found. Owners and content may change in the future. MinerCompare excludes all liability for third party content, webpages, products, services or actions of third parties. Access to third party sites is at your own risk.

5. User Conduct - Prohibitions

You agree to use the Services only for lawful purposes and in a manner that is consistent with normal non abusive user behavior.

Prohibited activity may lead to civil and criminal liability and allows MinerCompare to terminate access and seek injunctive relief.

6. Intellectual Property

All content, software, interfaces, graphics, trademarks, logos and other materials on the Services are the property of MinerCompare or its licensors and are protected by law.

You receive a limited, revocable, non exclusive, non transferable license to access and use the Services for personal non commercial use only, subject to these Terms. Any other use is prohibited without prior written permission.

7. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend and hold harmless MinerCompare and its officers, directors, employees, agents, affiliates and licensors from and against all claims, liabilities, damages, losses and expenses, including reasonable attorneys fees and costs, that arise out of or relate to your use of the Services, your violation of these Terms, your violation of law or third party rights, or any content you post or transmit through the Services.

8. Limitation and Cap on Liability

Some jurisdictions do not allow limits on certain damages. Where a limit is not allowed, the limit will apply to the maximum extent permitted by law.

9. Remedies - Injunctive Relief

You agree that a breach of Sections 5 or 6 would cause MinerCompare irreparable harm and that money damages alone would not be enough. MinerCompare may seek injunctive relief and any other remedies at law or in equity without posting a bond.

10. Dispute Resolution - Arbitration - Waiver of Class Actions

Except where law requires otherwise, any dispute, claim or controversy arising out of or related to these Terms or the Services will be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in Wilmington, Delaware or another venue reasonably convenient to MinerCompare. Judgment on the award may be entered in any court with jurisdiction.

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or to stop unauthorized use of the Services.

11. Privacy and Data

Our collection and use of personal information is described in our Privacy Policy, which is part of these Terms. By using the Services you consent to the collection, transfer, storage and processing of information as described in the Privacy Policy, including cross border transfers and storage. International users are responsible for compliance with local law.

12. International Use - Export Controls

The Services are operated from the United States. MinerCompare does not represent that the Services are appropriate or available outside the United States. Access from territories where such access is illegal is prohibited. You are solely responsible for compliance with local laws.

13. Modifications to Services - Suspension and Termination

MinerCompare may change, suspend or discontinue any part of the Services at any time without notice. MinerCompare may restrict, suspend or terminate your access at any time for any reason, including suspected breach of these Terms, compliance concerns or internal business decisions.

MinerCompare may remove, delist or modify any vendor profile, product listing or related content at its sole discretion, including in response to user complaints, quality issues or concerns about accuracy, legality or compliance with these Terms.

Sections 3, 4, 6, 7, 8, 9, 10, 11, 14 and 17 survive termination.

14. Entire Agreement - Severability

These Terms, the Privacy Policy and any other legal notices on the Services are the entire agreement between you and MinerCompare and replace all prior or contemporaneous communications and proposals.

If any provision is invalid or unenforceable, that provision will be removed and the rest will remain in full force and effect.

15. Miscellaneous

No waiver - a failure or delay by MinerCompare to exercise any right does not waive that right. Assignment - you may not assign your rights or obligations without prior written consent. MinerCompare may assign these Terms to any affiliate or successor. Notices - we may provide notices by email, by posting on the Services or by other means. Notices to MinerCompare should be sent using the contact details on the Services.

16. Governing Law

These Terms and any disputes are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

17. Vendor Listings and Paid Registrations

Vendors, manufacturers, resellers and service providers may request to be listed on MinerCompare.com or related platforms. Any fees paid for registration, verification, advertising or listing do not grant any right to continued inclusion, ranking or visibility on the Services.
